诈骗罪是指以非法占有为目的，使用虚构事实或者隐瞒真相的方法，骗取数额较大的公私财物的行为。本罪往客观上表现为使用欺诈方法骗取数额较大的公私财物。
首先，行为人实施了欺诈行为，欺诈行为从形式上说包括两类，一是虚构事实，二是隐瞒真相;从实质上说是使被害人陷入错误认识的行为。
其次，欺诈行为使对方产生错误认识，对方产生错误认识是行为人的欺诈行为所致;即使对方在判断上有一定的错误，也不妨碍欺诈行为的成立。
最后，成立诈骗罪要求被害人陷入错误认识之后作出财产处分，财产处分包括处分行为与处分意识。
